| James Field, Director, CompliSpace Pty Ltd
James is the Managing Director and founder of CompliSpace. He is a highly experienced business executive, legal and corporate governance practitioner, with over 20 years experience in the design and implementation of enterprise corporate governance programs across a wide range of industry sectors.
James has held senior executive positions in a range of publicly listed and private companies and applies his hands on executive experiences to assist CompliSpace clients to develop governance solutions that work and last.
James has been a qualified legal practitioner since 1986. He is a Fellow of the Chartered Secretaries of Australia and a member of the Australian Compliance Institute, the Australian Institute of Company Directors and the Australian Human Resources Institute.

| David has over 15 years experience in commercial law, his principal areas of expertise are in corporate governance, compliance and workplace relations. David is a founding director of CompliSpace Pty Ltd, a consulting firm that specialises in providing corporate governance programs and services to the small and medium enterprise market, including ASX listed and financial services companies.
Having held roles in private practice, as a senior manager in an ASX 200 company and in-house with a market regulator, David has extensive experience in corporate governance, risk and compliance from both sides of the regulatory fence.
David is a regular presenter on behalf of the Financial Services Institute of Australasia, Chartered Secretaries Australia and other industry bodies on issues relating to corporate governance, directors duties, risk management, compliance and business ethics. David holds an MBA from Oxford University and a Masters in Law from the University of Sydney.

| |  | Ellen Acheson - Operations Manager
| Ellen has over 7 years experience as a business systems and projects manager working with rapid growth small businesses. In her previous role as Business Development Manager for an economic consultancy, Ellen co-ordinated the tender process and managed the deployment of consultants on international aid projects throughout the Pacific and South-East Asia regions.
At CompliSpace, Ellen manages the implementation of the CompliSpace governance solution into our clients' organisations, assists in the ongoing development of the CompliSpace product, and designs and optimises our business development and customer relationship management systems and processes. Ellen is passionate about working with small to medium enterprises and understands the challenges faced by these businesses during rapid growth and expansion. Her extensive experience in project management and systems implementation enables Ellen to assist our clients to implement CompliSpace to its maximum potential.
Ellen holds a Bachelor of Business degree from the University of Technology Sydney majoring in small and medium enterprise management and she is currently completing a Graduate Diploma in Applied Corporate Governance through the Chartered Secretaries Association of Australia.

| James was employed as an in-house lawyer for over 7 years before moving from the UK to Sydney in 2007. He has experience in commercial litigation, employment law and also the management of key regulatory matters, such as FSA Compliance.
After starting his career at a FTSE 100 company, James took advantage of the Clementi Reforms to become part of the senior management team that created the first and largest legal services company in the United Kingdom.
James is a consultant at CompliSpace working with potential clients to establish their specific needs, provide general advice and offer structured, tailored and straightforward solutions to address their corporate governance needs.
James holds an LLB Law Degree from Nottingham University and attained his LPC Certificate from the University of the West of England.

| Nicholas has over 15 years experience in developing, managing and maintaining software solutions around Australia.
He has worked with Commonwealth and State Governments managing regional input/output modelling programs using proprietry software, and with a range of private organisations writing bespoke database applications designed to manage and develop individual business processes.
Nicholas also specialises in analysing, developing, managing and maintaining databases for retail, wholesale and other business organisations around Australia and has spent several years working with CompliSpace in a technical project development role.
Nicholas has a degree in Applied Science with a physics major from Curtin University and is based in Perth, Western Australia.

| Kim has worked in the financial services industry for over 25 years, specialising in public fund raising and compliance. Having held senior positions with ASIC and the listed funds management companies, Challenger and Perpetual, Kim has a deep understanding of the compliance issues facing clients in the financial services industry. Combining this background with a Commerce degree and a directorship of a property development company, Kim closely appreciates the commercial constraints driving effective corporate governance solutions for small to medium sized enterprises.

| Ian is an experienced and accomplished Company Secretary with a proven record in all Board and Board Committee related matters and corporate governance generally, including legal compliance. His experience covers rationalisation and management of superannuation funds, statutory records and maintaining key relationships with statutory bodies and major shareholder groups.
Ian has held Company Secretary positions for over 25 years, until recently with Medical Therapies Limited and Biosignal Limited, and previously with Goodman Fielder Limited. Prior to joining Goodman Fielder he was with Coopers & Lybrand for 10 years. He is a Director and Company Secretary with the Audit Quality Review Board, a Director of Amazing Loans Limited, a consultant to CompliSpace, Chairman of the Corporate and Legal Issues Committee and member of the NSW Council of Chartered Secretaries Australia and a Justice for the Peace in and for the State of NSW.

| Hilary has over 20 years broad based experience in the Financial Services Industry with an eye for technical detail. She has held a number of senior legal and compliance positions including: General Counsel and Compliance Manager - Tower Australia Limited; Head Legal Counsel – Financial Products and Services for Colonial/CBA; and Solicitor & Principal – William M Mercer. Hilary’s experience covers AFS and RSE licensing, financial product disclosure, product development and rationalisation, Financial Services in an ecommerce environment, superannuation, managed investments and life insurance.

| Andrew has more than fifteen years experience providing skilled and practical guidance as a solicitor and work place advisor. He was a Partner at PriceWaterHouse Coopers and has specific expertise in the areas of: Occupational Health and Safety; discrimination; employment contracts; workplace policies; enterprise bargaining; union disputes; workplace restructuring; commercial supply/service agreements; and franchising advice
Andrew holds a Bachelor of Law from the University of Technology, Sydney and a Specialist Accreditation qualification from the Law Society of NSW. He is a member of The Australian Institute of Company Directors, the NSW Chamber of Commerce, the Australian Institute of Human Resources, the Law Society of NSW, the Property Council of Australia and is on the Occupational Health and Safety committee of the Property Council of Australia.

| Di is CompliSpace's Human Resources Manager. She has over 10 years experience with one of Australia's largest banking corporations, at their head office in Melbourne. In this position Di held a number of roles including National Equal Opportunity Advisor and Graduate Recruitment and Personnel Manager for one of the Business Units. CompliSpace’s employment of Di as a HR Manager demonstrates our belief that HR is a critical need for all businesses, regardless of the size of the company. We use our internal HR infrastructure as an opportunity to implement the HR products and services that we offer our clients.
Di holds a B.A. from Monash University.

| Jessica has over 5 years experience in business administration, marketing and event co-ordination in the professional services industry.
At CompliSpace, in addition to her role in marketing, Jessica is responsible for co-ordinating various events including workshops, conferences and third party speaking events.
Jessica is currently completeing a Bachelour of Marketing and Public Relations at the University of Notre Dame Australia, and has previously completed studies in Marketing.
